The following terms and conditions regulates the access to, visit and use of this Website. Please review the terms and conditions carefully and exit the Website if you do not agree to all of the terms and conditions set out below.
By visiting this Website you unconditionally consent and accept the following terms and conditions, including Logipi's Privacy Policy (the "Terms and Conditions").
1. Information on the Website and Disclaimer
Information and services on the Website is provided "as is" without any warranty of any kind, either express or implied, including but not limited to any implied warranty of merchantability, fitness for a particular purpose or non-infringement. Logipi, its affiliates, employees, officers, directors, shareholders or any third party mentioned on this Website shall in no event be liable to any visitor or user of the Website for any damage arising out of the use of or inability to use this Website.
Logipi reserves the right, at any time without previous notice, to modify and update at its sole discretion, these Terms and Conditions. Any such modification shall be effective upon the publication thereof on this Website.

You acknowledge and agree that Logipi shall not be liable for any rights and/or obligations in relation to any agreement entered between you and other visitors or registered users of the Website or for any loss or disclosure of information sent, uploaded to or transmitted via the Website. In addition, Logipi shall not be responsible for loss or corruption of data in transmission or for failure to send or receive data via the Website.
2. Use of This Website – User Account
Submitting personal information is voluntary but conditional for using some of the services of the Website.
Registered users are offered two membership options for using the Website:
(a) a free of charge private contact forum (hereinafter referred to as “Free Membership”); and
(b) a payable communication forum for arranging business contacts (hereinafter referred to as “Premium Membership”).
Only individuals older than 14 years are permitted to be registered users and subscribe to the Membership services. When you submit personal information you unconditionally consent to the use thereof by Logipi to the extent and for the purpose as set out in these Terms and Conditions.
Your will receive a password and user account upon completing the registration process. You agree that you are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities that occur under you password and account. You agree to immediately notify Logipi of any unauthorized use of you password or account.
3. Prices
The applicable fee for the Premium Membership and fess for other services on the Website ("Service(-s)") as well as terms of payment for such fees shall be as quoted in Logipi's current Price List.
All quotations given by Logipi are (unless otherwise stated) exclusive of VAT and all other taxes and duties.
Logipi reserves the right to modify the Price List from time to time in its sole discretion to cover any increase in Logipi's costs for the Service(s) (including but not limited to increased costs of materials, labor, services, currency fluctuations or as a result of government taxes and levies).
You shall not be entitled to make any deduction from the sum due for the Premium Membership or other Service(-s) in respect of any set-off or counterclaim against Logipi. You shall not be entitled to withhold payments by reason of any alleged defect in the Premium Membership and/or other Service(s). Under no circumstances shall any user become entitled to a refund or reimbursement.
4. Intellectual Property Rights
You acknowledge and agree that all copyright, designs, trademarks and other intellectual property and material rights (“IPR”) mentioned and displayed on this Website are and shall remain the exclusive property of Logipi.
By transmitting, sending or posting any Content to this Website you grant Logipi the unrestricted, irrevocable and perpetual license to use, copy, display, modify, sublicense, distribute or otherwise dispose of any such information and material on the Website or otherwise for the purpose of promoting the Website or Logipi.
Nothing contained on this Website grants or should be considered as granting any license or right to you of the use of any IPR displayed on this website unless otherwise expressly provided for in this Terms and Conditions. Any unauthorized reproduction, redistribution, publishing, transmission, modification, sale and any other usage of the IPR of this Website is prohibited and may result in civil and criminal penalties. 9. Indemnity
You agree to indemnify Logipi and its affiliates to the extent permitted by applicable law from all claims and expenses, including reasonable attorney's fees, which claims are based on or arise from you violation of the provisions of this Terms and Conditions.
10. Termination
You agree that Logipi, in its sole discretion, may terminate you password, account or use of the Website and remove or discard any Content you may have submitted to the Website, at any time for any reason including but not limited to your violation of this Terms and Conditions or any applicable law. Any such termination of your access to the Website may be affected without prior notice and you acknowledge and agree that Logipi may immediately delete your account and all related information and files in your account and bar any further access to the Website without being liable to you or any third party.
You may terminate your Premium Membership in writing to Logipi upon [three (3) months] written notice. You acknowledge and agree that you are required to fulfill your contractual obligations pursuant to these Terms and Conditions (including but not limited to payment) for the time period until termination.
11. Force Majeure
Logipi shall not be liable to you for any loss or damage including consequential loss as a result of any delay of the performance or interruption of the access to the Website or Service(-s) caused by circumstances outside the reasonable control of Logipi including but not limited to delays by the Logipi's suppliers, contractors, labor shortages, strikes, lockouts or labor disputes of any kind, fires, floods, accidents or breakdowns of machinery or equipment, shipping, dock strikes, railway or transport, accident, war, riot, civil commotion, Government intervention, declaration of national emergency, act of God, inability to obtain raw materials, cancellation or shortage of supplies, communication network delays or failures, power failures and similar events or breach of contract by Logipi's own manufacturers or suppliers, export or import regulations or with license or currency regulations, or of obtaining export or import licenses.
12. Severability
In the event that any provision of this Terms and Conditions (or portion thereof) is determined by a court of competent jurisdiction to be invalid or otherwise unenforceable, such provision (or part thereof) shall be enforced to the extent possible consistent with the stated intention of the parties, or if incapable of such enforcement, shall be deemed to be deleted from this Terms and Conditions, while the remainder of this Terms and Conditions shall continue in full force and remain in effect.
13. Applicable Law and Dispute
This Terms and Conditions and any other rules posted on or available on this Website is governed by and construed in accordance with the laws in the state of Delaware in the United States of America, without regard to any conflict of law principles. Any dispute arising out of or in connection with the information on this Website shall be settled by the courts of Delaware.
